Job Description
Wood is recruiting for a Contracts Lead to join our Contracts Team in Milan focusing on providing contracts negotiation support to our Project businesses in Milan. The role also supports the Life Sciences business in the eastern hemisphere and provides support to wider Milan business. The position will be based in Corsico (Milan) office, with the possibility to work remotely up to two days per week.

Responsibilities
Promote and demonstrate safety leadership behaviours
Always act ethically and with the utmost integrity
Champion and promote the application of the Financial Management Framework and policies on management of contract and risks
Champion and follow the relevant DOA and Group & BU policies
Functional activities within the assigned Business(es) including drafting, review, and negotiation, all in accordance with Wood's group wide policies and approval processes of:
Confidentiality agreements / NDA's in accordance with business needs
Client contracts (bespoke and standard forms) including project specific contracts and Master Services Agreements.
Drafting and review of financial instruments (Bonds / Letters of Credit, PCG's, Collateral Warranties)
MOU's, Bidding Agreements, collaboration agreements and exclusive arrangements
Reviewing proposed contract qualifications with other functions, as required, to ensure the balance of risk is appropriate for the associated scope and remuneration model.
Negotiation of contractual terms with clients




Providing overviews of contract T&Cs; and associated issues to senior management and execution teams, as applicable
Identification of contractual risks for inclusion in the risk management process
Support Supply Chain and other functions in drafting and developing prime contract flow down terms to be incorporated in to purchase orders and subcontracts.
Preparation, negotiation establishment and administration of Joint Venture and / or Partnering agreements
The provision of contractual interpretation advice, as required.
Support Treasury in the timely provision of commercial deliverables (e.g. bonds, PCG's, evidence of insurance) in accordance with contract requirements and Wood Policies.
Provision of contractual inputs to Commercial Handovers, including mitigations and actions required by Contracting Policy approvals.
Supporting Subcontracts and Procurement Department during negotiation with subcontractors / suppliers.
Drafting / commenting on license agreements where Wood acts as licensor.
Qualifications
Degree in Law
Legally qualified (preferred but not required)
Knowledge, Skills And Experience
Experience and proven track record of contract review, drafting and negotiation: 5+ years
Relevant Client Facing Contracting Experience: 3-5+ years
In addition to undergraduate degree or equivalent work experience, the individual should have work experience in the industry which would allow understanding of and exposure to key contracting principles
Working knowledge of contract terms, contract principles and drafting and roll out of contracting policies
Working knowledge of the Company Finance and HR systems
Awareness of all relevant corporate and project procedures
Excellent understanding of Client contract structures, principles, and policies
English fluent; Italian good

6 month contract for maternity cover
Collective Agreement (CCNL): Industria Metalmeccanica (CNEL C011)
Job Classification level: Quadro, consistent with role requirements and applicable CCNL
Compensation
Gross Annual Salary: the initial gross annual salary will be € 65,000, paid in 14 instalments
The compensation package will include applicable CCNL elements and company benefits
Variable pay and additional benefits will be detailed during the selection process
