/p pLeading investment and asset management platform focused on infrastructure and strategic assets, operating across high-growth sectors including energy transition, digital infrastructure, data centers, and transportation /p pThe company manages complex investment projects, acquisitions, JV and strategic partnerships at domestic and international level.
/p ul libMA and Investments /b /li liSupport the legal aspects of acquisitions, disposals, JV and strategic investments.
/li liManage legal due diligence processes and coordinate external counsel.
/li liNDAs /li liLOIs /li liShare Purchase Agreements (SPA) /li liShareholders' Agreements (SHA) /li liInvestment Agreements /li liJV Agreements /li liAssist transaction teams throughout deal execution and closing.
/li libCorporate Governance /b /li liProvide legal support on governance matters for portfolio companies and investment vehicles.
/li liPrepare and review corporate documentation, board resolutions and shareholders' resolutions.
/li liSupport directors and senior management on corporate law matters.
/li libCommercial Project Development /b /li liDraft and negotiate a wide range of commercial contracts.




/li liSupport the development and operation of infrastructure and energy projects.
/li liAdvise on EPC, OM, development, framework and service agreements where relevant.
/li liAssist business teams in structuring strategic partnerships and commercial arrangements.
/li libRegulatory and Risk Management /b /li liMonitor legal and regulatory developments affecting infrastructure, energy and digital assets.
/li liIdentify legal risks and propose practical mitigation measures.
/li liEnsure legal compliance across projects and investments.
/li libStakeholder Management /b /li liLiaise with business teams, investment professionals, finance, tax and external advisors.
/li liManage relationships with leading international law firms and other professional advisors.
/li liSupport cross-functional projects involving multiple jurisdictions.
/li /ul h3Experience /h3 ul liLaw degree with excellent academic credentials.
/li liQualified lawyer in a European jurisdiction preferred.
/li liApproximately b5-8 years /b of post-qualification experience.
/li liExperience gained within: /li litop-tier law firms; and/or /li liinfrastructure funds; /li lienergy companies; /li liDemonstrated experience in MA and corporate transactions.
