Reporting to the Group General Counsel & Board Secretary, you will be responsible for ensuring the Group’s business integrity, regulatory compliance, and governance of the internal regulation system. You will ensure adherence and conformity across the organization with external regulations, internal policies, and the system of delegations of authority, all within the SOX Act compliance framework. You will also address and oversee compliance duties at Group level, while reporting to relevant bodies (including the Audit Committee of the Board) on all compliance-related matters. **WHAT YOU’LL DO**:
**Compliance Management**
- Oversee and monitor the global compliance program, including adherence to SOX requirements, regulatory obligations, and internal policies.
- Develop, implement, and track KPIs to measure compliance effectiveness worldwide.
- Oversee the Group’s compliance and training process,
ensuring effective coordination with Policy Owners and end-to-end management of learning content set-up, training delivery and reporting processes
- Proactively provide expert guidance on compliance issues and serve as a point of escalation for complex matters. **Corporate Compliance**
- Provide stakeholders, including investors, with the appropriate information on Group compliance, beginning with the compliance-related sections of the public reports.
- Ensure compliance with LD 231 by the Italian entities
- Together with Corporate Affairs, monitor the delegations of authorities. **ESG Compliance**
- Partner with the ESG department to ensure global adherence to ESG-related laws and regulations.
- Support ESG initiatives from a compliance perspective, acting as a sparring partner to anticipate and mitigate regulatory risks. **Ethics & Whistleblowing**
- Lead the Ethics Committee, ensuring robust processes for ethical decision-making and governance.
- Coordinate the works of the Ethics Committee and supervise investigations of whistleblowing and misconduct cases, liaising with parties involved while guaranteeing confidentiality and compliance with legal requirements.
- Promote a culture of transparency, integrity, and accountability. **Stakeholder Communication & Reporting**
- Prepare and deliver impactful presentations to the Board and Audit Committee in English.
- Act as a trusted advisor to senior management on compliance, ESG and SOX matters.
- Provide clear, concise, and actionable reports on compliance and ethics issues. **WHAT MAKES YOU THE PERFECT FIT**:
**Experience & Skills**
- 7-10 years of international experience in compliance, SOX, and/or ESG.
- Solid background in reporting, auditing, and internal controls.
- Good knowledge of industry regulations and best practices.
- Proven track record in managing compliance programs and whistleblowing cases.
- Skilled in developing and testing control processes.
- Proficient in word processing, spreadsheet, and presentation software.
- Strong communicator, able to explain complex topics clearly to senior management, the Board, and the Audit Committee.
- Strategic mindset with the ability to turn regulations into practical business solutions.
- Strong stakeholder management and influencing skills in multinational contexts.
- Change agent with the ability to embed governance and compliance culture across the organization. **Education & Languages**
- Graduate in Law or a related discipline
