ReVersal is an investment firm ( SIM - Società di Intermediazione Mobiliare ) authorized for advisory and placement activities, majority-owned by TXT Group, and a center of excellence in investment services. To strengthen our team, we are looking for a Head of Legal & Compliance who can combine regulatory rigor with strategic vision, reporting directly to Senior Management and Control Bodies. The candidate will be the sole point of reference for the SIM’s legal, corporate, and regulatory matters. They will be responsible for ensuring full compliance of business activities, combining the Compliance function with Legal Oversight & Contracting. Key Responsibilities:

- Governance & Compliance: Define and monitor the Compliance Plan; execute risk assessments and periodic audits of internal processes.
- Regulatory & Advisory: Monitor regulatory developments (Consob, Bank of Italy, MiFID II) and provide ex-ante support to management and the Investment Team for launching new services and business lines.
- Contracting & Agreements: Draft and maintain retail/corporate contract documentation; negotiate strategic agreements with partners, brokers, outsourcers, and vendors.
- Corporate Governance & Protection: Provide legal support to the Board of Directors and the Board of Statutory Auditors (minutes, power of attorney, reporting); manage mandatory registers (complaints/conflicts of interest) and pre-litigation matters.
- Fostering a Culture of Compliance: Plan and deliver internal training sessions for staff, preparing relevant training materials to incorporate regulatory changes and promote ethical operational behavior consistent with fair treatment of clients.

Technical Requirements:

- Experience: 8–12 years in similar roles (Compliance, Legal, Internal Control) at investment firms (SIM), asset management companies (SGR), banks, or law firms specializing in the financial sector.
- Regulations: Solid knowledge of the Italian Consolidated Law on Finance (TUF), MiFID II, Consob Intermediaries Regulation (Product Governance,



Best Execution, Inducements), and AML/GDPR regulations.
- Tools & Operations: Familiarity with electronic signatures, pre-contractual documentation, and complaint management.
- Educational Background: Degree in Law or Economics/Finance (bar qualification is a plus).

The ideal profile is completed by authority, independence of judgment, and a pragmatic approach capable of transforming regulatory constraints into smooth, scalable operational processes. Reporting Line To safeguard the autonomy of the function, the role features a dual-reporting line:

- Functional: To the Board of Directors (for Compliance activities).
- Hierarchical: To the CEO / General Management (for Legal and corporate activities).

Offer & Location:

- Contract Type: Permanent contract (tempo indeterminato).
- Compensation: Gross annual salary (RAL) between €40,000 and €55,000. The final classification will be determined during the selection process based on candidate seniority and in accordance with the National Collective Bargaining Agreement for Commerce (CCNL Commercio).
- Location: Milan (On-site / full-time presence required).
