The legal department consists of ten sub‑teams, including a team composed of those lawyers supporting the local country platforms of SEM, including the Italian platform. The lawyers act as key players in project and negotiation teams to support energy management’s business origination by drafting, structuring and negotiating contracts and generally providing legal advice in respect of the range of business activities. /p h3What will you do? /h3 pWe are looking for a Contract Negotiation Lawyer in Milan or Rome to join the existing legal team of four persons,



to support its expanding business in Italy, with a focus on gas, electricity, green energy related agreements and derivatives contracts. /p h3Mission: /h3 pThe Contract Negotiation lawyer will work in Milan/Rome and be a part of the SEM Italian Legal team. His/her mission is to support the portfolio activities on day‑to‑day topics related to power, gas and commodity derivatives and to participate in ongoing projects. The person will work closely with all energy management and downstream teams: trading, origination, sales, operations, risks and back‑office. /p pThe main roles and accountabilities would be: /p ulliAdvise on, draft, review, negotiate templates and contracts (energy commodity offtake contracts, EFETs, PPAs, biomethane purchase agreements and related service contracts), complex derivatives contracts (financial instruments such as forwards, options, swaps, contracts for difference) and ISDAs, following the entire negotiation process until the validation and signature. /liliDevelop and execute comprehensive legal strategies and solutions to lawfully facilitate SEM’s commercial objectives while mitigating associated legal risk. /liliDraft, review, negotiate support credit management documentation (e.g. netting agreements, credit support annexes, letters of credit and guarantees) and any ancillary agreements. /liliConduct regulatory and other due diligence, review and advise on credit support, legal opinions and other conditions precedent relevant for commodities and financial contracts. /liliLiaise with and draft legal analysis and memoranda for management and internal governance purposes. /liliAddress legal and regulatory developments relating to energy commodities in regulated and derivatives markets (EMIR, MIFID, REMIT regulation), provide training on topical issues to SEM colleagues and attend internal and industry conferences and forums. /liliDevelop practice notes and assist with policy and guidelines formulation and application and improve and develop standard clauses and templates. /liliAdvise on and execute the implementation of the reforms of commercial, financial or energy market regulation in SEM’s products and services. /liliProvide legal support in relation to contractual event‑driven issues such as events of default, covenant breaches, force majeure, waivers, acceleration and enforcement and to pre‑insolvency and insolvency procedures. /liliOut of Court credit collections and pre‑litigation activities. /liliSupervise external counsels.



/li /ul pThe successful candidate will also have the opportunity to take part in the ongoing initiatives and projects launched within SEM. /p h3About Y OU /h3 h3Qualifications required: /h3 pMaster’s degree in Law. Admission to an Italian Bar will be considered as a plus. /p h3Specific Knowledge: /h3 ulliLanguages: fluent English and Italian oral and written with strong drafting skills (French is a plus) /liliExcellent technical and commercial skills /liliAn intellectual curiosity and hunger to learn /liliDemonstrating commercial understanding, good judgment on legal risk decisions and on knowing when to escalate /liliBeing familiar with, and demonstrate responsibility for, a range of energy commodity transactions and derivative products /liliDemonstrating exposure to innovative deals and structuring /liliAbility to articulate governance and risk policies /liliStrong interpersonal and communication skills /liliConfident, capable and quick to learn /liliWorking effectively as part of a team /liliProducing results in the face of adversity /li /ul h3Experience: /h3 pAt least three‑years’ experience in energy commodity and financial derivative contracts negotiation as in‑house in an energy company or as energy lawyer in a law firm. /p h3Location: /h3 pRome or Milan. /p h3Type of contract: /h3 pPermanent contract according to Italian labour law. /p pThe bannual gross salary (RAL) /b foreseen for this role ranges between b€45.000 /b and b€51.000 /b, depending on the candidate’s experience and level of seniority. /p h3ABOUT ENGIE /h3 pAt ENGIE, every talent has a role to play in accelerating the energy transition.
