Serving over 150,000 customers and 490,000 patients across 14 countries, we offer a comprehensive range of gas-based solutions tailored to sectors including healthcare, food, electronics, manufacturing, chemicals, electronics, and energy among many others. /p pWe are seeking a bLegal Expert /b to join our Legal Compliance Department in Milan on a fixed-term contract to provide maternity leave cover. /p h3Key Responsibilities: /h3 ul liCompliance Program and drafting of corporate procedures and internal trainings (including D.lgs 231/01, GDPR and Antitrust); /li liDrafting, reviewing and negotiating different kind of contracts, in Italian and in English, including EPC contracts and plants’ purchase and sale contracts; /li liDrafting standard agreements, templates and general terms and conditions; /li liLegal assistance for MA transactions, including divestitures, sale of assets, purchase of business units, merger and acquisition and due diligence; /li liAssistance for litigation: coordination of the external lawyers and management of civil and administrative proceedings; /li liGiving legal opinions and advise to internal clients; /li liLegal assistance on corporate governance matters, drafting ofminutes of shareholders and board of directors meeting and of corporate by laws, shareholders agreements and proxies. /li /ul h3Required Skills and Experience:



/h3 ul liMaster’s Degree in Law and Lawyer’s qualification; /li liAt least 5/7-years’ experience in a law-firm or in an international firm and in company’s legal office; /li liAttention to detail and a high degree of accuracy; /li liFlexibility and ability to adapt to a constant changing environment; /li liFull commitment in terms of time and effort; /li liHigh ethical standards and integrity, high level of discretion /li libFluent English /b (written and spoken); bgood knowledge of French /b is required to interact effectively with the French subsidiary; /li /ul pAt Nippon Sanso, we're a reliable bpartner /b for key industries, combining global expertise with a local touch to make a real difference.
