As a
Corporate Affairs & Governance Expert,
you will be part of
Plenitude Societa Benefit
. Specifically, you will play a key role in overseeing corporate governance processes and supporting the proper functioning of the corporate bodies of the Group's companies, both in Italy and abroad, contributing to the company's development during a phase of international growth and shareholder evolution.
Main activities
Drafting, reviewing, and negotiating corporate and corporate governance documentation, including shareholder agreements, bylaws, joint venture agreements, corporate body regulations, delegation systems, powers, and powers of attorney.
Assistance and advice on corporate law and the functioning of corporate bodies, with particular reference to the powers and responsibilities of corporate bodies, reserved powers, management delegations, conflicts of interest, and transactions with related parties.
Support for corporate and governance aspects related to extraordinary transactions, such as acquisitions and divestments of shareholdings, capital increases, mergers, demergers and other capital or ownership transactions.
Monitoring and analyzing legislative and regulatory developments and best practices in corporate law and corporate governance, assessing their impact on corporate structures, decision-making processes, and internal regulations.
Overseeing Golden Power legislation, including analyzing the applicability of transactions, preparing and reviewing notifications and communications to the relevant authorities, and providing support in related discussions.
Required features




Master's degree in Law; other paths may also be positively evaluated based on significant experience consistent with the role
At least 3 years of experience in governance activities relating to companies and groups, with particular attention to documents such as bylaws, shareholders' agreements, JV agreements
Experience in compliance with strategic assets (Golden Power)
Experience in related party transactions is preferred
Research and in-depth analysis of corporate law, corporate governance provisions, and shareholder rights
Excellent knowledge of the English language

We offer a gross annual salary between €48,000 and €60,000.
The final offer will be formulated in accordance with the professional experience, technical and transversal skills possessed by the resource, functional for the role and appreciable by the company.
In the presence of particularly relevant professional experience and technical and transversal skills, the Company may evaluate an offer with an improved classification/RAL level.
